A trademark registration has a title, like a house or a car. To be valid and enforceable, it’s necessary for a trademark registration to be officially owned by the entity or individual that is using the trademark in commerce. 

When should a trademark assignment be filed?

Any time a trademark changes ownership, a trademark assignment should be filed. Examples of changes in ownership include if you sell your trademark by itself, if sell your business along with all of the businesses intellectual property, if you gift your trademark to someone else, or if you change the corporate structure of your business.

Should a trademark assignment be filed if I sell my company?

Yes. A trademark assignment should be filed with the USPTO as part of the sales process so that the tile to the trademark registration is officially transferred from the original owner to the new owner.
